Introduction and Acceptance of Terms

Welcome to ACI FMC Conference App ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the ACI FMC Conference App mobile application and website (collectively, the "Service"). By downloading, installing, or using ACI FMC Conference App, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access or use our Service.

Definitions

"User," "you," and "your" refer to you, the person accessing this Service and accepting these Terms.
"Content" refers to text, images, photos, audio, video, and all other forms of data or communication.
"User Content" refers to Content that users submit or transmit to, through, or in connection with the Service.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms.

User Accounts

Account Creation:

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Responsibilities:

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account. If you suspect unauthorized use of your account, you must notify us immediately.

Account Termination:

We reserve the right to refuse service, terminate accounts, remove or edit Content, or cancel orders at our sole discretion.

Use of the Service

Eligibility:

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age.

Prohibited Uses:

You agree not to use the Service:

• In any way that violates any applicable national, federal, state, local, or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," or "spam."
• To impersonate or attempt to impersonate ACI FMC Conference App, a Grey Parrot IO employee, the providers of the application, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm ACI FMC Conference App or users of the Service.

Intellectual Property Rights

Service Content:

The Service and its original Content (excluding User Content), features, and functionality are and will remain the exclusive property of ACI FMC Conference App and its licensors. The Service is protected by copyright, trademark, and other laws of both Ghana and foreign countries.

User Content:

You retain any and all of your rights to any User Content you submit, post, or display on or through the Service and you are responsible for protecting those rights. By posting User Content on the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content in connection with providing and promoting the Service.

Copyright Policy:

We respect the intellectual property rights of others and expect users of the Service to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us.

Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and share information about you when you use our Service. By using the Service, you consent to our collection, use, and sharing of information as set forth in the Privacy Policy.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

ACI FMC Conference App makes no warranty that:

• The Service will meet your requirements.
• The Service will be uninterrupted, timely, secure, or error-free.
• The results that may be obtained from the use of the Service will be accurate or reliable.
• The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event will ACI FMC Conference App, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or Content of any third party on the Service.
• Any Content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or Content.

Our total liability for any claims arising from these Terms shall not exceed the amount you paid to use the Service in the past 12 months.

Indemnification

You agree to defend, indemnify, and hold harmless ACI FMC Conference App, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Ghana, and you hereby consent to the personal jurisdiction of such courts.

Dispute Resolution

Informal Resolution:

Before filing a claim against ACI FMC Conference App, you agree to try to resolve the dispute informally by contacting business@greyparrot.io. We'll try to resolve the dispute informally by contacting you via email.

Arbitration:

If a dispute is not resolved within 15 days of submission, you or ACI FMC Conference App may elect to have the dispute finally and exclusively resolved by binding arbitration. Any election to arbitrate must be made in writing and delivered to the other party. The arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where appropriate, its Supplementary Procedures for Consumer Related Disputes.

Class Action Waiver:

You agree that any arbitration or legal action shall proceed solely on an individual basis without the right for any claims to be arbitrated on a class action basis or on bases involving claims brought in a purported representative capacity on behalf of others.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, our Privacy Policy, and any additional terms to which you agree when using particular elements of the Service constitute the sole and entire agreement between you and ACI FMC Conference App regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
